Philip serves as one of two deputy heads of the firm’s Funds & Investment Management practice.

Philip regularly advises fund managers and investment advisors on legal structure and other fund formation issues, marketing arrangements, general compliance matters and other related legal and regulatory matters. Philip services a wide range of clients, from large global fund managers like Global Infrastructure Partners (a part of BlackRock) and JPMorgan Asset Management (Singapore) Limited, to prominent local and regional fund managers such as Fullerton Fund Management Company Ltd, Heliconia Capital Management Pte Ltd and BEENEXT Capital Management Pte. Ltd., to environmental impact fund managers like Clime Capital Management Pte. Ltd., with clients describing him as “quick in understanding and astute in framing the problem.”
Apart from fund formation, Philip also helps clients with licence applications, advises on regulatory matters, and regularly advises corporate and sovereign institutional investors investing into funds, particularly PE/VC, infrastructure and real estate funds.
Philip has extensive experience in, and advises his clients on a broad range of fund management regulatory, fund formation and related matters, including multiple private equity/ venture capital/ infrastructure/real estate/impact fund launches (both as lead fund counsel and as Singapore counsel), sponsor/seeding arrangements, carry scheme arrangements, restructuring and advisory and securities offering arrangements.
EXPERIENCE
- Advised clients on and acted as lead counsel for the formation and registration of various onshore and offshore funds.
- Advised a US venture capital firm in obtaining a VCFM licence and acted as SG counsel on the launch of its impact fund dedicated to purify plastic pollutants.
- Acted as primary counsel for a large global Japanese financial institution in establishing a ASEAN focused private equity fund domiciled in Singapore.
- Acted as primary counsel for a large Japanese private equity firm in establishing a sector focused private equity fund.
- Acted as primary counsel for the establishment of a fund under the EDB Global Investor Programme scheme.
- Acted as primary counsel for the establishment of a hybrid fund (open-ended fund with private equity fund features) with a real estate focus.
- Advised a financial institution on several US$20 to US$25 million seed capital arrangements with various hedge funds and investment managers.
- Acted generally for Singapore sovereign wealth entities and a Dutch based international bank investing in a portfolio of private equity funds, with typical investment amounts of between US$25 million to US$75 million.
